Terms of Service

Agreement to Terms: By accessing or using WebSpace Uganda's website and services, you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

1. Acceptance of Terms

By submitting a project inquiry, using our website, or engaging our services, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Services Description

WebSpace Uganda provides professional web development services including:

  • Custom website design and development
  • E-commerce solutions
  • Web application development
  • Website maintenance and support
  • SEO and digital marketing services
  • Graphic design and branding
  • Content creation and management

Specific services will be outlined in individual project proposals and contracts.

3. Project Inquiry Process

3.1 Submission

When you submit a project inquiry through our website:

  • You provide accurate and complete information
  • You consent to be contacted via the provided email and phone number
  • You understand that submission does not guarantee service acceptance
  • You acknowledge this is an inquiry, not a binding contract

3.2 Response Timeline

We aim to respond to all inquiries within 24-48 business hours. Response times may vary during holidays or periods of high demand.

3.3 No Obligation

Submitting an inquiry creates no obligation for either party. Both you and WebSpace Uganda reserve the right to decline to proceed with a project for any reason.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information
  • Respond to requests for information within reasonable timeframes
  • Provide necessary materials (content, images, branding assets) for project completion
  • Review and approve deliverables in a timely manner
  • Make payments according to agreed terms
  • Respect intellectual property rights
  • Not use our services for illegal or unethical purposes

5. Our Responsibilities

WebSpace Uganda commits to:

  • Deliver services with professional skill and care
  • Meet agreed-upon deadlines (subject to client cooperation)
  • Maintain confidentiality of client information
  • Provide clear communication throughout projects
  • Deliver work that meets agreed specifications
  • Provide reasonable support and maintenance as agreed

6. Project Agreements

All projects will be governed by:

  • Written Proposal: Outlining scope, deliverables, timeline, and costs
  • Client Approval: Written acceptance required before work begins
  • Change Requests: Modifications to scope may affect timeline and cost
  • Payment Terms: Specified in individual project agreements

7. Pricing and Payment

7.1 Budget Estimates

Budget ranges provided during inquiry are estimates only. Final pricing will be provided in formal project proposals based on specific requirements.

7.2 Payment Terms

Standard payment structure (may vary by project):

  • Deposit: 30-50% upfront to commence work
  • Milestone payments: As outlined in project agreement
  • Final payment: Upon project completion and approval

7.3 Late Payments

Late payments may result in:

  • Work suspension until payment is received
  • Additional fees as specified in project agreement
  • Withholding of final deliverables

8. Intellectual Property Rights

8.1 Client Content

You retain all rights to content, images, and materials you provide. By providing materials, you grant us license to use them for project completion.

8.2 Deliverables

Upon full payment:

  • You receive rights to the final delivered work as specified in project agreement
  • We retain rights to underlying code frameworks and tools
  • Third-party components remain subject to their respective licenses

8.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that services will be performed with reasonable skill and care. However:

  • We do not guarantee specific business results or outcomes
  • We do not warrant that websites will be error-free or uninterrupted
  • Third-party service performance is outside our control

9.2 Disclaimer

Services are provided "as is" except as specified in project agreements. We disclaim all warranties not expressly stated, including implied warranties of merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for services
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for loss of profits, data, or business opportunities
  • We are not responsible for third-party service failures

11. Confidentiality

We maintain confidentiality of:

  • Client business information and trade secrets
  • Project details and proprietary information
  • Personal data as outlined in our Privacy Policy

Exceptions: Information required to be disclosed by law or with your written consent.

12. Termination

12.1 By Client

You may terminate services with written notice. You remain responsible for payment for work completed and expenses incurred.

12.2 By WebSpace Uganda

We may terminate services if:

  • Payment terms are violated
  • Client fails to provide necessary cooperation
  • Client engages in abusive or unethical behavior
  • Project requirements are illegal or violate our policies

13. Website Use

When using our website, you agree not to:

  • Use the site for illegal purposes
  • Attempt to gain unauthorized access to systems
  • Transmit viruses or malicious code
  • Scrape or harvest data without permission
  • Impersonate others or provide false information
  • Interfere with site operation or other users

14. Data Protection

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

15. Third-Party Services

Our services may integrate third-party tools and services. Use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party service performance or policies.

16. Dispute Resolution

16.1 Good Faith Resolution

In case of disputes, both parties agree to first attempt resolution through good faith negotiation.

16.2 Governing Law

These terms are governed by the laws of Uganda. Any legal proceedings shall be conducted in Uganda.

16.3 Arbitration

If negotiation fails, disputes may be resolved through arbitration as an alternative to litigation, if both parties agree.

17. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or technical failures.

18. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of services after changes constitutes acceptance. For active projects, original terms remain in effect unless both parties agree to new terms.

19. Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and WebSpace Uganda.
